NEC expands BSS SaaS with $3bn CSG acquisition

The idea is there are synergies between CSG’s portfolio and that of subsidiary Netcracker which will allow NEC to expands its customer base and global reach

NEC Corporation and CSG Systems International have entered into “a definitive agreement” under which NEC will acquire CSG for a total enterprise value of about $2.9 billion (, in cash, including debt.

The transaction is intended to strengthen NEC’s position, and that of its subsidiary Netcracker, “as a leader in next-generation digital solutions and accelerates AI and cloud-driven innovation for customers across industries”. The idea is to bring together complementary software and services, expanding NEC’s software-as-a-service (SaaS) portfolio, customer footprint and global reach to offer greater value to customers.

Netcracker already has a global footprint and expertise in BSS and OSS which, NEC claims, “align… naturally with CSG’s strengths”.

The agreement has been unanimously approved by both companies’ boards. The transaction is expected to close during 2026, subject to the favourable closing conditions, including approval by CSG’s shareholders, and receipt of required regulatory approvals.
